A clean entity, formed by a law firm, waiting for an owner
A ready-made (or "shelf") company is a limited company that ABDO Advogados incorporates in advance, keeps fully compliant and never uses for trading. When you acquire it, we transfer the shares to you and update the name, address, activities and administrator in a single Board of Trade filing.
Because the CNPJ, the municipal enrolment and the digital certificate already exist, the company can sign contracts and issue tax invoices as soon as the transfer is registered. Bank account opening and Central Bank registration follow immediately after.
Included with every ready-made company
- Active CNPJ and registered articles
- Municipal enrolment and digital certificate
- Legal opinion confirming no liabilities, employees, contracts or tax debts
- Clean-history warranty backed by ABDO Advogados
- Share transfer and amendment of articles to your specifications
- Resident legal representative and tax address, 12 months
- Central Bank registration of your acquisition

Ready-made company FAQ
Is a ready-made company safe to acquire?
Ours are. Each entity is formed by ABDO Advogados, kept dormant and fully compliant, and delivered with a legal opinion and tax clearance certificates confirming there are no liabilities. Companies bought from unknown sellers on the open market carry real risk of hidden debts; that is precisely why we only sell entities we created ourselves.
Can I change the company name and activities?
Yes. Name, registered address, business activities, share capital and administrator are all amended in the same filing that transfers the shares to you.
Can a foreign company acquire it?
Yes. The foreign parent obtains a CNPJ and Central Bank registration first, then acquires the shares. The acquisition price is registered as foreign direct investment.
Does the company already have a bank account?
No. Banks require the account to be opened in the name of the final ownership structure, so account opening begins immediately after the transfer is registered. Having an existing CNPJ with history does make the bank's review smoother.
How is the price structured?
A fixed acquisition fee covering the entity, the due diligence pack, the transfer and the first twelve months of representation and address, plus itemised government costs. The proposal is issued within one business day.
